GigCapital7 is a blank check company incorporated on May 8, 2024, as a Cayman Islands exempted company. Its purpose is to complete a merger, capital share exchange, asset acquisition, share purchase, reorganization, or similar business combination with one or more businesses. To date, GigCapital7 has not engaged in any operations other than those related to the transactions outlined in the Business Combination Agreement, nor has it generated any operating revenues. While its search for a target business has not been limited by industry or geography, the company has focused on businesses in the technology, media, and telecommunications (TMT), artificial intelligence and machine learning (AI/ML), cybersecurity, medical technology and medical equipment (MedTech), semiconductor, and sustainable industries. GigCapital7 plans to fund its initial business combination using cash from its initial public offering and the sale of private placement warrants, its common equity, any preferred equity created under its charter documents, debt, or a combination of these. The company aims to leverage its management team's experience and contacts to complete this initial business combination. On May 8, 2024, the Sponsor acquired one Class B ordinary share, par value $0.0001 per share, for $0.0001. On May 31, 2024, the Sponsor purchased an additional 16,999,999 Class B ordinary shares for an aggregate price of $100,000, or $0.00588235 per share. Following this, the Sponsor surrendered 300,000 Class B ordinary shares to GigCapital7 for no consideration, resulting in the Sponsor holding 16,700,000 Class B ordinary shares.
