Zion Oil & Gas Inc.

Zion Oil and Gas, Inc. is an oil and gas exploration company with 25 years of experience in Israel. The company was incorporated in Florida on April 6, 2000, reincorporated in Delaware on July 9, 2003, and its shareholders approved re-domestication to Texas on June 4, 2025. Zion Oil and Gas completed its initial public offering in January 2007. Its common stock trades on the OTCQX marketplace under the symbol "ZNOG," and its common stock warrant trades under "ZNOGW." On January 24, 2020, Zion incorporated Zion Drilling, Inc., a wholly owned Delaware subsidiary, to own a drilling rig, related equipment, and spare parts. On January 31, 2020, Zion incorporated Zion Drilling Services, Inc., another wholly owned Delaware subsidiary, to provide drilling services as a contractor. On May 14, 2025, Zion Drilling, Inc. and Zion Drilling Services, Inc. were re-domesticated and converted from Delaware to Texas corporations. On October 19, 2022, Zion incorporated Zion Drilling Israel Ltd, a wholly owned subsidiary in Israel, to own a drilling rig and related equipment and spare parts. This entity was initially a placeholder, with a bank account created in November 2024 and a tax file in January 2025. Zion Drilling Israel Ltd had no activities during the year ended December 31, 2025. The New Megiddo License 428 ("NML 428") was initially awarded on December 3, 2020, for a six-month term, extended multiple times, and expired on February 1, 2023.
