Ares Real Estate Income Trust

Ares Real Estate Income Trust is a net asset value (NAV)-based perpetual life real estate investment trust (REIT) that primarily invests in and operates a diverse portfolio of real property and other real estate-related assets. Formed on April 11, 2005, as a Maryland corporation, the company has elected to be treated as a REIT for U.S. federal income tax purposes since the taxable year ended December 31, 2006. As of December 31, 2025, its consolidated real property portfolio comprised 143 properties, encompassing approximately 30.5 million square feet across 34 markets throughout the U.S. Ares Real Estate Income Trust utilizes an Umbrella Partnership Real Estate Investment Trust (UPREIT) organizational structure, holding substantially all its assets through AREIT Operating Partnership LP, a Delaware limited partnership, where it acts as the sole general partner and a limited partner. The company's day-to-day activities and investment strategy are managed by an Advisor, a related party, under an Amended and Restated Advisory Agreement (2025), effective April 30, 2025, which has a current term ending April 30, 2026. The Advisor acts as a fiduciary to the company and its stockholders.
