Each unit consists of one share of common stock with a par value of $0.0001, one redeemable warrant allowing the holder to purchase one share of common stock at an exercise price of $11.50 per share, and one right to receive one-tenth (1/10) of one share of common stock upon the completion of an initial business combination. The units were sold at $10.00 per unit, raising gross proceeds of $100,000,000. Concurrently with the IPO closing, the company completed a private sale of 313,500 units to Yotta Investment LLC, the Sponsor.
