YHN Acquisition I Ltd

YHN is a newly incorporated blank check company formed in the British Virgin Islands with limited liability. The company was established to effect a business combination, such as a merger, share exchange, asset acquisition, share purchase, recapitalization, or reorganization, with one or more target businesses. YHN is based in Hong Kong, where its principal office is located. The company's sponsor and a majority of its executive officers and directors are based in or have significant ties to mainland China and/or Hong Kong. YHN may pursue or complete an initial business combination with a company located or doing business in the PRC, including Hong Kong and Macau. The company's efforts to identify a prospective target business are not limited to a particular industry or geographic location. On April 3, 2025, YHN entered into a business combination agreement with Mingde Technology Limited, a Cayman Islands company, which was amended and restated on June 3, 2025, and further amended by Amendment No. 1 and Amendment No. 2. This agreement provides for a business combination between YHN and Mingde.
