Twenty One Capital, Inc.

Twenty One Capital, Inc. is an operating company focused exclusively on Bitcoin-related business lines. The company was incorporated in Texas on March 7, 2025. It was formed to complete a business combination between Cantor Equity Partners, Inc., a Cayman Islands exempted company, and Twenty One Assets, LLC, a Delaware private limited liability company. This business combination was completed on December 8, 2025. As a result of the combination, Cantor Equity Partners, Inc. merged into CEP Merger Sub D, a Cayman Islands exempted company, with CEP Merger Sub D continuing as the surviving entity. Holders of Cantor Equity Partners, Inc. ordinary shares received one share of Class A Common Stock of Twenty One Capital for each share held. Additionally, Twenty One Assets, LLC merged into CEP Merger Sub C, Inc., a Delaware corporation and an indirect subsidiary of Cantor Equity Partners, Inc., with Company Merger Sub continuing as the surviving company. In exchange for their membership interests in Twenty One Assets, LLC, Tether Investments, S.A. de C.V., an El Salvador corporation, and iFinex, Inc., a British Virgin Islands company, received shares of Class A Common Stock and Class B Common Stock of Twenty One Capital.
