WinVest Acquisition Corp. is a blank check company, also known as a Special Purpose Acquisition Company (SPAC), formed under Delaware law on March 1, 2021. The company's primary purpose is to complete an Initial Business Combination, which involves merging with, exchanging shares with, acquiring assets from, purchasing shares of, reorganizing with, or engaging in a similar business combination with one or more existing businesses. On September 17, 2021, WinVest Acquisition Corp. completed its Initial Public Offering (IPO) of 10,000,000 units at an offering price of $10.00 per unit, generating gross proceeds of $100,000,000. Each unit in the IPO consisted of one share of Common Stock, one redeemable Public Warrant, and one Right. Each Public Warrant allows the holder to purchase one-half (1/2) of one share of Common Stock at an exercise price of $11.50 per whole share. Each Right entitles the holder to receive one-fifteenth (1/15) of one share of Common Stock upon the completion of an Initial Business Combination. Concurrently with the IPO, the company completed a private sale of 10,000,000 Private Placement Warrants to its sponsor at a price of $0.50 per Private Warrant, generating gross proceeds of $5,000,000. These Private Placement Warrants are identical to the Public Warrants, each entitling holders to purchase one-half (1/2) of one share of Common Stock at $11.50 per whole share.
