WEN Acquisition Corp

WEN Acquisition Corp is a blank check company incorporated on January 13, 2025, as a Cayman Islands exempted company. The company was formed to complete a Business Combination with one or more businesses or entities. WEN Acquisition Corp may pursue an initial Business Combination in any business or industry. To date, its efforts have included organizational activities, activities related to its Initial Public Offering, and searching for and consummating a Business Combination. As of the date of this Report, the company has not selected any specific Business Combination target. WEN Acquisition Corp has generated no operating revenues to date and does not expect to generate operating revenues until it completes its initial Business Combination. The company is concentrating its efforts on infrastructure companies in the financial technology ("fintech") sector that focus on enabling digital assets, such as stablecoins, through the incorporation and integration of blockchain networks into traditional financial systems. However, WEN Acquisition Corp is not required to complete its initial Business Combination with a business in these industries and may pursue a Business Combination outside of them. The company is pursuing both domestic and global businesses. Its IPO Registration Statement became effective on May 15, 2025. On May 19, 2025, WEN Acquisition Corp completed its Initial Public Offering of 30,015,000 Units, including 3,915,000 Option Units issued pursuant to the full exercise of the Over-Allotment Option. Each Unit consists of one Public Share and one-half one Public Warrant, with each whole Public Warrant entitling the holder to purchase one Class A Ordinary Share for $11.50 per share. The Units were sold at a price of $10.00 per Unit, generating gross proceeds to the company of $300,150,000.
