VanEck Solana ETF

VanEck Solana ETF is a Delaware statutory trust formed on November 30, 2021. The Trust's primary purpose is to own Solana (SOL), a digital asset, which is transferred to the Trust in exchange for shares issued by the Trust. Each share represents a fractional ownership interest in the Trust. The Trust's assets primarily consist of SOL held by third-party custodians. The Trust is managed by VanEck Digital Assets, LLC, a Delaware limited liability company and a wholly-owned subsidiary of Van Eck Associates Corporation. CSC Delaware Trust Company serves as the Delaware trustee. Gemini Trust Company, LLC and Coinbase Custody Trust Company, LLC are the SOL custodians for the Trust. State Street Bank and Trust Company acts as the Trust's administrator, transfer agent, and cash custodian. On June 10, 2025, Van Eck Associates Corporation, the parent of the Sponsor, purchased 4,000 "Seed Shares" at $25.00 per share, generating total proceeds of $100,000 for the Trust. On October 29, 2025, these Seed Shares were redeemed for cash. Subsequently, the Seed Capital Investor purchased "Seed Creation Baskets" comprising 400,000 shares at $25.00 per share, which was equivalent to 51,656 SOL. The SOL price was determined using the MarketVector™ Solana Benchmark Rate on October 29, 2025. This transaction resulted in total proceeds of $10,000,000 to the Trust.
