The company is an independent retail energy services company, founded in 1999 and organized as a Delaware corporation. It offers residential and commercial customers in competitive markets across the United States an alternative choice for natural gas and electricity. The company purchases electricity and natural gas from wholesale providers and bills customers monthly based on consumption at either a fixed or variable price. Local regulated utility companies then distribute the electricity and natural gas to customers using their existing infrastructure. The business operates through two segments: the Retail Electricity Segment and the Retail Natural Gas Segment. In the Retail Electricity Segment, the company buys electricity supply via physical and financial transactions with market counterparties and ISOs, then supplies it to residential and commercial consumers under fixed-price and variable-price contracts. Similarly, the Retail Natural Gas Segment involves purchasing natural gas supply through physical and financial transactions with market counterparties and supplying it to residential and commercial consumers under fixed-price and variable-price contracts. As of December 31, 2025, the company operated in 106 utility service territories across 21 states and the District of Columbia, serving approximately 421,000 residential customer equivalents (RCEs). An RCE is an industry standard measure, with each RCE representing annual consumption of 100 MMBtu of natural gas or 10 MWh of electricity. On June 13, 2024, a merger was completed between the Company, Retailco, and a wholly owned subsidiary of Retailco, with the Company continuing as the surviving corporation. As a result, Mr. Maxwell and his affiliates became owners of all issued and outstanding Class A and Class B common stock. Effective at the end of trading on June 13, 2024, the Class A common stock ceased trading on NASDAQ.
