VanEck Avalanche ETF

The VanEck Avalanche ETF is a Delaware statutory trust formed on March 10, 2025. The Trust's primary purpose is to own AVAX, a cryptocurrency, which is transferred to the Trust in exchange for shares issued by the Trust. Each share represents a fractional ownership interest in the Trust. The Trust's assets primarily consist of AVAX held by third-party custodians. VanEck Digital Assets, LLC, a wholly owned subsidiary of Van Eck Associates Corporation, manages and controls the Trust as its sponsor. Delaware Trust Company serves as the Delaware trustee. Anchorage Digital Bank N.A. and Coinbase Custody Trust Company, LLC are the AVAX Custodians, holding the Trust's AVAX. State Street Bank and Trust Company acts as the Trust's administrator, transfer agent, and cash custodian. On November 20, 2025, Van Eck Associates Corporation, the parent of the Sponsor, purchased 4,000 "Seed Shares" at $25.00 per share, generating total proceeds of $100,000 for the Trust. On December 22, 2025, these Seed Shares were redeemed for cash, and the Seed Capital Investor purchased "Seed Creation Baskets" totaling 100,000 Shares at $25.00 per share, equivalent to 206,019.90 AVAX. The AVAX price was determined using the MarketVector™ Avalanche Benchmark Rate, which was $12.13 on December 22, 2025.
