UMeWorld Inc.

UMeWorld Limited operates in digital media and education, primarily focusing on the China market. The company was originally incorporated in 1997 as AlphaRx Inc., a pharmaceutical research and development company. In November 2011, it ceased all pharmaceutical drug development operations and shifted its corporate strategy to digital media and education. On August 30, 2012, UMeWorld acquired UMeLook Holdings Limited, a digital media and education startup in China, through a share-exchange transaction involving the issuance of 70,000,000 AlphaRx common shares. Due to legal restrictions in the People's Republic of China (PRC) on foreign ownership in the value-added telecommunications sector, UMeWorld operates its online platform through a variable interest entity (VIE), Guangzhou XinYiXun Technology Co. Ltd., which holds its Value-Added Telecommunication Services (VATS) license, registered trademarks, and software copyrights. In 2017, the company launched a day-care and private tutoring trial program for Grade 1 through Grade 6 students under the UMTang brand, which was discontinued later that year. On November 4, 2019, UMeWorld entered into an acquisition agreement with Beijing Radish Green Vegetable Education Technology Co., Ltd. ("Proud Kids") in an all-stock transaction, under which up to 37,500,000 ordinary shares would have been issued.
