UMB FINANCIAL CORP

UMB Financial Corporation is a financial holding company based in Kansas City, Missouri, providing banking and asset servicing to customers in the United States and globally. Organized under Missouri law in 1967, the company operates as a bank holding company and a financial holding company. It owns all outstanding stock of one national bank and several nonbank subsidiaries. On January 31, 2025, UMB Financial Corporation acquired Heartland Financial USA, Inc. (HTLF) in an all-stock transaction. This involved issuing 23.6 million shares of the company's common stock and 4.6 million depositary shares, each representing a 1/400th interest in a share of the company's 7.00% Fixed-Rate Reset Non-Cumulative Perpetual Preferred Stock, Series A. As part of this merger, HTLF merged into UMB Financial Corporation. One day after the acquisition, HTLF's bank subsidiary, HTLF Bank, merged into UMB Bank, National Association, UMB Financial Corporation's national bank subsidiary. On April 29, 2024, the company also announced a forward sale agreement to issue 2.8 million shares of its common stock, with an option for underwriters to purchase up to an additional 420 thousand shares within 30 days of April 28, 2024.
