Thayer Ventures Acquisition Corp II

We are a blank check company incorporated in the Cayman Islands. Our purpose is to complete a merger, share exchange, asset acquisition, share purchase, reorganization, or similar business combination with one or more businesses. We have not yet started any operations or generated any revenue. All activities from our inception on April 23, 2024, through December 31, 2025, relate to our formation and initial public offering. We do not expect to generate operating revenues until we complete our initial business combination. While we may pursue acquisitions in any business, industry, sector, or geographical location, we are focused on businesses that align with our management team's background. We intend to use our management team's ability to identify and acquire businesses, specifically focusing on the travel and transportation industries where our management has extensive investment experience. Our sponsor is a Delaware limited liability company formed to invest in our company. Mr. Hemmeter, our Co-Chief Executive Officer and Co-President, and Mr. Farrell, our Co-Chief Executive Officer, Co-President, and Chief Financial Officer, are managers of our sponsor. They each have control over the management of our sponsor and voting and investment discretion over the securities held by our sponsor. As of the date of this report, only Messrs. Farrell and Hemmeter have a direct or indirect material interest in our sponsor.
