Titan America SA

Titan America LLC is a cement and building materials producer. The company is majority owned by Titan SA, a multinational cement and building materials producer established in 1902 in Greece. Titan SA has cement production facilities in ten countries and serves customers in more than 25 countries globally. As of the date of this Annual Report, Titan SA beneficially owns approximately 87% of Titan America LLC's common shares. In 2023, Titan America LLC invested $73 million at its Port Tampa Bay, Florida terminal and its Norfolk, Virginia terminal. This investment included constructing new domes and adding multi-product storage capacity of approximately 70,000 tons each, along with other repairs and refurbishments. On February 10, 2025, Titan America LLC completed its initial public offering (IPO) of 24,000,000 common shares. The IPO included a primary offering of 9,000,000 newly issued common shares and a secondary offering of 15,000,000 existing common shares. The shares were sold at $16.00 per share, generating proceeds of approximately $136.8 million after deducting underwriting discounts and commissions. The common shares began trading on the New York Stock Exchange on February 7, 2025, under the symbol "TTAM". On March 11, 2025, underwriters purchased an additional 580,756 existing shares from Titan SA. As of the date of this Annual Report, the company has a total of 184,362,465 common shares issued and outstanding.
