TROOPS, Inc. was incorporated in the Cayman Islands on July 18, 2007. The company was initially formed as a blank check company to acquire operating businesses in the People's Republic of China (PRC). It completed its initial public offering (IPO) of units, each consisting of one ordinary share and one warrant, on March 12, 2008. The company was required to complete a business combination transaction to acquire control of a business with its primary operation in the PRC, with a fair market value of at least 80% of the trust account established at the time of its IPO, prior to March 12, 2010. On March 12, 2010, TROOPS, Inc. acquired all outstanding shares of Honesty Group, which then became a wholly-owned subsidiary. Honesty Group is a limited liability company registered in Hong Kong on September 13, 2005. Honesty Group owns 100% of Guanke, Guanwei, and Guancheng.
