TON Strategy Company is a digital asset treasury and Web3 ecosystem company that supports The Open Network, a public blockchain. This blockchain was originally developed to integrate with Telegram, a messaging platform with over one billion users. The Open Network blockchain is designed for fast and scalable transaction processing, enabling decentralized applications and digital services accessible via Telegram's user base. The Company's main business is managing its corporate treasury holdings of Toncoin, the native digital asset of the TON blockchain. This includes staking Toncoin, which means locking up tokens to help secure and validate the network in exchange for rewards. These activities support the TON ecosystem while managing digital assets according to regulatory, accounting, and risk-management standards. The Company may also pursue other Web3 initiatives within the TON ecosystem to promote network growth and adoption. In August 2025, the Company implemented its TON Treasury Strategy, using capital-raising proceeds to acquire Toncoin and participate in staking on the TON network. Staking operations formally began in August 2025 and have become a primary source of yield generation and a core part of the Company's digital asset treasury strategy. As of December 31, 2025, the Company used two third-party custodians, BitGo Trust Company, Inc. and Blockchain.com (Cayman) Limited, to manage and stake its Toncoin holdings. While staking agreements are directly with these custodians, they may use third-party service providers for validator or staking infrastructure. All Toncoin staked by the Company is deployed through single-nominator validator pools and is not mixed with other clients' or participants' assets.
