Talon Capital Corp.

Talon Capital Corp. is a special purpose acquisition company (SPAC) incorporated on May 1, 2025, in the Cayman Islands. The company was formed to complete a business combination, such as a merger, share exchange, asset acquisition, share purchase, recapitalization, or reorganization, with one or more businesses. Talon Capital Corp. completed its initial public offering (IPO) on September 10, 2025, after its registration statement became effective on September 8, 2025. In the IPO, the company sold 24,900,000 units at $10.00 per unit, including a partial exercise of the underwriters' over-allotment option for 2,400,000 units, raising gross proceeds of $249,000,000. Each unit in the IPO consisted of one Class A ordinary share and one-third of one redeemable warrant. Concurrently with the IPO, the company sold 779,000 private placement units at $10.00 per unit, generating gross proceeds of $7,790,000. These private placement units were sold to Talon Capital Sponsor LLC (530,000 units) and Cohen and Company Capital Markets (249,000 units). Each private placement unit also consisted of one Class A ordinary share and one-third of one redeemable warrant. Each whole warrant allows the holder to purchase one Class A ordinary share at $11.50 per share, subject to adjustment.
