This transaction involves Modine transferring its Performance Technologies business assets and liabilities to SpinCo, Modine distributing all outstanding shares of SpinCo common stock to its shareholders, and subsequently, Merger Sub merging with SpinCo, with SpinCo as the surviving entity, and all SpinCo common stock converting into the right to receive shares.
