Trailblazer Merger Corp I

Trailblazer Merger Corporation I is a blank check company established to complete a business combination, such as a merger, stock exchange, asset acquisition, stock purchase, or reorganization, with one or more businesses. While the company may target any business or industry, it intends to focus its search on companies operating in the technology industry. On March 31, 2023, Trailblazer completed its initial public offering (IPO) of 6,000,000 units. Each unit was priced at $10.00 and consisted of one share of Class A common stock, with a par value of $0.0001 per share, and one right to receive one-tenth (1/10) of one share of common stock upon the completion of an initial business combination. This IPO generated gross proceeds of $60,000,000. The underwriters exercised their 45-day option to purchase an additional 900,000 units to cover over-allotments, bringing the total units issued to 6,900,000 and total gross proceeds to $69,000,000. Concurrently with the IPO, the company completed a private placement with the Sponsor for 394,500 units, generating $3,945,000 in proceeds. These Private Units are identical to those sold in the IPO.
