China SXT Pharmaceuticals, Inc.

China SXT Pharmaceutical is a holding company that offers Advanced Traditional Chinese Medicine Pieces (TCMP) products. The company was incorporated in the British Virgin Islands on July 4, 2017. Its wholly owned subsidiary, SXT HK, was incorporated in Hong Kong on July 21, 2017. SXT HK holds all the capital stock of WFOE, a wholly foreign-owned enterprise incorporated in China on October 13, 2017. WFOE, shareholders of Taizhou Suxuantang, and Taizhou Suxuantang entered into a series of contractual arrangements, known as VIE Agreements, on October 13, 2017. Under these agreements, WFOE is considered the primary beneficiary of Taizhou Suxuantang, allowing China SXT Pharmaceutical to consolidate Taizhou Suxuantang's financial statements in accordance with U.S. GAAP. WFOE's business scope, approved under PRC laws, includes technology development, technology service provision, technology consulting, development of computer software and hardware, computer network technology, game software, and provision of enterprise management, human resource, and intellectual property consulting services. WFOE's sole business is to provide Taizhou Suxuantang with technical support, consulting services, and other management services for its daily operations, in exchange for a service fee approximately equal to Taizhou Suxuantang's net income. Taizhou Suxuantang has been principally engaged in offering Advanced TCMP products since March 2015. Prior to 2015, Taizhou Suxuantang specialized in manufacturing and selling Regular and Fine TCMP products.
