STARZ ENTERTAINMENT CORP

Starz Entertainment Corp. operates the Starz Business, which primarily consists of Starz Networks and International operations. Starz Networks provides STARZ branded premium subscription video services within the U.S. and Canada. These services are distributed through over-the-top (OTT) streaming platforms and distributors, directly to consumers via the Starz App, and wholesale through U.S. and Canada OTT and multichannel video programming distributors (MVPDs), including cable operators, satellite television providers, and telecommunications companies. The International segment primarily focuses on OTT distribution of subscription video services outside the U.S. and Canada. On May 6, 2025, a separation was completed, as outlined in an arrangement agreement dated January 29, 2025, and amended on March 12, 2025. This separation divided the Starz Business from the LG Studios Business, which is now held by Lionsgate Studios Corp. Following this transaction, the pre-transaction shareholders of the former Old Lionsgate now own shares in two distinct public companies: Starz Entertainment Corp., which holds the Starz Business, and Lionsgate Studios Corp., which holds the LG Studios Business. For accounting and financial reporting purposes under U.S. GAAP, Lionsgate Studios Corp. is considered the divesting entity, and Starz Entertainment Corp. is considered the divested entity.
