Strategic Acquisitions, Inc. is a private lending company that provides digital asset-backed loan services to businesses. The company was incorporated in Nevada on January 27, 1989. On December 22, 2022, Strategic Acquisitions, Inc. acquired Exworth Union Inc., a company also engaged in providing loans collateralized by digital assets. Prior to this merger, Strategic Acquisitions, Inc. was a "shell" company with no commercial operations and only nominal interest income. Since the merger, the company has generated revenue from interest income and fees from loan receivable issuance. During 2023, Strategic Acquisitions, Inc. began offering loan administration services. However, in July 2024, all issued loan receivables were settled by borrowers, and the company temporarily ceased lending operations from that date as of the date of this SEC filing. The acquisition of Exworth Union was accounted for as a reverse recapitalization, with Exworth Union considered the accounting acquirer. As a result, Strategic Acquisitions, Inc. is now in the business of providing loans collateralized by digital assets. The loan business is currently limited due to the early stage of the digital asset industry, changing economic conditions, and the need to develop a proprietary software technology platform for loan origination and servicing. As of December 31, 2025, and 2024, the company has not started software development due to a lack of funding.
