St. Joseph Inc.

St. Joseph Inc. provides employment agency services. The company was originally organized as Pottery Connection, Inc. under Colorado law on March 19, 1999, to produce and sell pottery and arts and crafts online. On March 19, 2001, the corporate name changed to St. Joseph Energy, Inc. with an intent to explore and develop oil and gas properties. After unsuccessful investments in two oil wells in Louisiana, the company returned to its original business purpose. On November 6, 2003, the corporate name changed to St. Joseph, Inc. On December 2, 2003, St. Joseph Inc. acquired all issued and outstanding common stock of Staf*Tek, a company organized under Oklahoma law on January 2, 1997. The acquisition closed on January 2, 2004, making Staf*Tek a wholly owned subsidiary of St. Joseph Inc. The consideration for the acquisition included 380,500 shares of Series A Preferred Shares, 219,500 shares of common stock, and $200,000 in cash.
