STAK Inc.

STAK Inc. is a holding company that conducts its operations in mainland China through its subsidiaries. The company began its operations in June 2020 with the founding of YLAN in Changzhou, China. In 2023, STAK Inc. was incorporated in the Cayman Islands as the offshore holding company. In May 2023, STAK Inc. incorporated STAK Holdings Limited (STAK HK) in Hong Kong. In August 2023, STAK HK established STAK (Changzhou) Intelligent Technology Co., Ltd (WFOE) as a wholly foreign owned entity in the People's Republic of China. WFOE acquired 100% equity interest in YLAN in September 2023. STAK Inc. is the ultimate holding company of YLAN and Changzhou Zhongshan, a wholly-owned subsidiary of YLAN established in April 2022 in mainland China. YLAN also established two registered branch offices for its operations in Shiyan, Hubei Province, in September 2024 and Guiyang, Guizhou Province, in January 2025. STAK Inc.'s Class A Ordinary Shares began trading on the Nasdaq under the symbol "STAK" on February 26, 2025. On February 27, 2025, the company closed its initial public offering (IPO) of 1,250,000 ordinary shares at a public offering price of $4.00 per ordinary share. On March 4, 2025, the underwriters partially exercised their over-allotment option to purchase an additional 160,349 ordinary shares at $4.00 per ordinary share. The total gross proceeds from the IPO, including the over-allotment option, were $5.6 million. On February 27, 2025, the company issued warrants to Kingswood Capital Partners, LLC to purchase 70,517 ordinary shares at an exercise price of $4.80 per share.
