SPACSphere Acquisition Corp.

We are a blank check company incorporated in the Cayman Islands. Our purpose is to complete a business combination, such as a merger, share exchange, or asset acquisition, with one or more businesses. We have not yet chosen a target business for this combination, and our search is not limited to a specific industry or geographic area. We plan to use cash from our initial public offering and the sale of private placement units, along with our shares, new debt, or a combination of these, to fund our initial business combination. Our management team has broad experience as executives, entrepreneurs, investors, and advisors, having grown businesses from early stage to large scale. They have significant exposure to industry and acquisition trends as both investors and operators, and possess an extensive network of relationships. On February 9, 2026, we completed our initial public offering, selling 17,250,000 units, which included the underwriters' full exercise of their over-allotment option for 2,250,000 units. Each unit was sold at $10.00, generating gross proceeds of $172,500,000. Each unit consists of one Class A ordinary share, one-half of one redeemable warrant (each whole warrant allows the holder to purchase one Class A ordinary share at $11.50 per share), and one right to receive one-fifth (1/5) of one Class A ordinary share upon the completion of our initial business combination.
