Sphere Entertainment Co. is a Nevada corporation that operates primarily through its direct and indirect subsidiaries, Sphere Entertainment Group, LLC and MSG Networks Inc. The company was incorporated on November 21, 2019, as a direct, wholly-owned subsidiary of Madison Square Garden Sports Corp. On April 17, 2020, Madison Square Garden Sports Corp. distributed all outstanding common stock of the Company to its stockholders. On July 9, 2021, MSG Networks Inc. merged with a subsidiary of the Company, becoming a wholly-owned subsidiary. On April 20, 2023, the Company distributed approximately 67% of the outstanding common stock of MSGE Spinco, Inc. (now Madison Square Garden Entertainment Corp.) to its stockholders, while retaining approximately 33% of the outstanding common stock of MSG Entertainment immediately following the distribution. Following subsequent dispositions, the Company no longer holds any outstanding common stock of MSG Entertainment. In connection with this distribution, the Company changed its name to Sphere Entertainment Co. The Company was originally organized in Delaware and redomesticated to Nevada on June 4, 2025. The Company historically reported on a fiscal year ending on June 30th.
