China Risk Finance LLC, formed in Delaware on July 12, 2004, initially began its credit analytics service provider business in 2001. The company developed proprietary technology over 18 years, during which its founders and management advised large Chinese banks on consumer credit analysis for over one hundred million credit cards. On April 28, 2017, its ADSs began trading on the NYSE under the symbol "XRF." In May 2017, the company completed an IPO, selling 11,500,000 ADSs, each representing ten Class A Ordinary Shares. In the third quarter of 2018, due to regulatory changes, the company ceased customer acquisition and loan facilitation on its legacy marketplace lending platform and began transitioning to other industries. On May 5, 2020, the company entered into agreements to acquire YBT (Yongbao Two Ltd.), which controls its variable interest entity SOS Information. This transaction was completed on May 15, 2020, resulting in 100% ownership of YBT and control over SOS Information Technology Co., Ltd ("SOS Information"). Consequently, the company started its newly acquired data mining and targeted marketing services business through SOS Information. On August 3, 2020, the company entered into a share purchase agreement with Hantu (Hangzhou) Asset Management Co., Ltd. for the sale of CRF China Holding Co.
