We are a blank check company incorporated on September 2, 2025, as a Cayman Islands exempted company. Our sole purpose is to complete a Business Combination with one or more businesses or entities. To date, we have not selected a target for a Business Combination. Our activities have been limited to organizational tasks, those related to our Initial Public Offering, and searching for a Business Combination target. We have not generated any operating revenues to date and do not expect to do so until we complete our initial Business Combination. While we currently intend to focus on target businesses in the healthcare industry, we may pursue an initial Business Combination target in any business, industry, sector, or geographical location. We aim to focus on industries that align with our Management Team's background and to leverage their ability to identify and acquire a business. We will seek to acquire established businesses of scale that we believe are positioned for continued growth, possess capable management teams, and have proven unit economics, but may require financial, operational, strategic, or managerial improvements to maximize value. Our Management Team brings a combination of operating, investing, financial, and transactional experience. Members of our Management Team and Advisors have successfully identified and closed four SPAC Business Combinations.
