AsiaStrategy is a holding company incorporated in the Cayman Islands that conducts a luxury watch trading business and other investment holding businesses through its subsidiaries. The luxury watch trading business operates mainly in Hong Kong through its Hong Kong Operating Subsidiary. AsiaStrategy itself has no operations. As of the date of this annual report, AsiaStrategy has not made any dividends or distributions to its shareholders, including U.S. investors. During the fiscal years ended December 31, 2025, 2024, and 2023, no dividends or distributions have been made by its subsidiaries. The company anticipates retaining any earnings to support operations and finance business growth and development, and therefore does not expect to pay cash dividends in the foreseeable future. AsiaStrategy relies on dividends or payments from its subsidiaries to fund its cash and financing requirements. Funds are transferred from AsiaStrategy to its operating subsidiaries in Hong Kong or other subsidiaries directly or indirectly through intermediate holding companies, as capital contributions or loans. Dividends, other distributions, or loans may be paid by the operating subsidiaries to AsiaStrategy directly or indirectly through intermediate holding companies. There are no restrictions or limitations on the ability to distribute earnings from operating subsidiaries, including the subsidiary in Hong Kong, to AsiaStrategy and shareholders and U.S. investors, provided the entity remains solvent after such distribution.
