SusGlobal Energy Corp. was formed on December 3, 2014, in the Province of Ontario, Canada, through an amalgamation of SusGlobal Energy Corp., a company in the start-up stages, and Commandcredit Corp., an inactive Canadian public company. The company's executive office is located in Toronto, Ontario, Canada, at 200 Davenport Road. On May 23, 2017, SusGlobal changed its jurisdiction of incorporation from Ontario to the State of Delaware, continuing its existence under the General Corporation Law of the State of Delaware. In connection with this change, each outstanding common share was automatically converted on a one-for-one basis into common shares compliant with Delaware law. The business, assets, liabilities, principal location, and fiscal year of SusGlobal and its subsidiaries remained the same immediately after this change. The company registered its common stock, with a par value of $.0001 per share, on February 4, 2019, pursuant to Section 12(g) of the Securities Exchange Act of 1934, as amended.
