We are a leading manufacturer and distributor of premium replacement parts for the automotive aftermarket and a provider of custom-engineered solutions to vehicle and equipment manufacturers across various non-aftermarket sectors. Our business is structured into four operating segments: Vehicle Control, Temperature Control, Nissens Automotive, and Engineered Solutions. The Nissens Automotive segment was established in the fourth quarter of 2024 after our acquisition of AX V Nissens III ApS (now SMP Nissens III ApS) and its subsidiaries in November 2024. Our Vehicle Control, Temperature Control, and Nissens Automotive segments supply the automotive aftermarket with premium replacement parts in essential categories. These products are mainly used for non-discretionary repairs, extending vehicle service life by replacing critical components that have failed and are necessary for proper vehicle operation. Our Engineered Solutions segment provides a wide range of conventional and future-oriented technologies for commercial and light vehicles, construction, agriculture, power sports, marine, hydraulics, and lawn and garden markets. We sell our products primarily to retailers, warehouse distributors, original equipment manufacturers, and original equipment service part operations in the United States, Europe, Canada, Mexico, and other foreign countries. Our Vehicle Control Segment serves core automotive aftermarket customers with premium replacement parts in major product groups, including Engine Management. This group encompasses components for ignition, emissions, and fuel delivery systems of internal combustion engines, such as air injection and induction components, air management valves, regulators and solenoids, exhaust gas recirculation (EGR) components, fuel injectors and related components, fuel valves, ignition coils, connectors and sockets, modules, pumps, relays and fuses, starting and charging system parts, and vapor and purge components.
