On November 18, 2025, SEMrush Holdings, Inc. entered into a Merger Agreement with Adobe and Fenway Merger Sub, Inc., a Delaware corporation and a wholly owned subsidiary of Adobe. Under this agreement, Fenway Merger Sub, Inc. will merge into SEMrush Holdings, Inc., with SEMrush Holdings, Inc. continuing as a wholly owned subsidiary of Adobe. At the effective time of the merger, each outstanding share of Class A common stock and Class B common stock of SEMrush Holdings, Inc. will be converted into the right to receive $12.00 in cash, without interest. Following the merger, the company will be delisted from the New York Stock Exchange (NYSE). Outstanding equity awards of the company will be treated according to the terms of the Merger Agreement at the effective time.
