Chicago Atlantic Real Estate Finance, Inc. is a commercial mortgage real estate investment trust (REIT) incorporated in Maryland on March 30, 2021. The Company, along with its wholly owned subsidiary, Chicago Atlantic Lincoln, LLC, commenced operations on March 30, 2021, and completed its initial public offering in December 2021. The Company has elected to be taxed as a REIT for United States federal income tax purposes starting with its taxable year ended December 31, 2021, and believes it qualifies and will continue to qualify as a REIT. As a REIT, the Company generally will not be subject to United States federal income taxes on its REIT taxable income if it annually distributes at least 90% of its REIT taxable income to stockholders and complies with other requirements. The Company is externally managed by Chicago Atlantic REIT Manager, LLC, under a management agreement dated May 1, 2021, and amended in October 2021. All investment decisions are made by the Manager's Investment Committee, with oversight from the Company's board of directors. The primary investment objective is to provide attractive, risk-adjusted returns for stockholders, mainly through consistent current income dividends and other distributions, and secondarily through capital appreciation.
