RIDGEFIELD ACQUISITION CORP.

Ridgefield Acquisition Corp. was originally incorporated on October 13, 1983, and its domicile changed from Colorado to Nevada on June 23, 2006. The company is authorized to issue 35,000,000 shares of capital stock, comprising 30,000,000 shares of common stock with a $.001 par value per share and 5,000,000 shares of preferred stock with a $.01 par value per share. On March 9, 1999, Ridgefield sold substantially all of its assets to JOT Automation, Inc., which included its historical depaneling and routing businesses. Following this transaction, the company focused on developing a prototype micro-robotic device designed to manipulate organic tissues on an extremely small scale. However, development of this device ceased due to an inability to complete it, and related capitalized patent costs were written off as of June 30, 2000. On March 19, 2002, the company was awarded United States Patent No. US 6,358,749 B1 for an "Automated System for Chromosome Microdissection and Method of Using Same." In the first quarter of 2003, Ridgefield's Board of Directors authorized the formation of a wholly-owned subsidiary to own, develop, and exploit this patent.
