On May 27, 2025, Fortive Corporation approved the separation of its Precision Technologies operating segment, which became Ralliant, through a pro rata distribution of Ralliant's common stock to Fortive's stockholders. Ralliant's Registration Statement on Form 10 was declared effective by the U.S. Securities and Exchange Commission on May 30, 2025. In connection with the separation, on June 27, 2025, Ralliant received the net assets of its businesses and made a cash payment of $1.15 billion to Fortive. Also on June 27, 2025, 100 shares of Ralliant common stock held by Fortive were recapitalized into 112,730,036 shares. All per share amounts in the Consolidated and Combined Statements of (Loss) Earnings have been retroactively adjusted for this recapitalization. Ralliant completed the separation on June 28, 2025, the first day of its third fiscal quarter, through a pro rata distribution of its common stock to Fortive shareholders of record as of June 16, 2025.
