QMMM Holdings Ltd

QMMM Holdings Limited is a holding company incorporated in the Cayman Islands on July 29, 2022. The company, through its wholly owned subsidiaries, provides digital media advertising and marketing production services in Hong Kong. QMMM Holdings Limited is the parent company of Grade A Global Limited and Witty Time Holdings Limited, both British Virgin Islands business companies incorporated on July 5, 2022. Grade A Global Limited wholly owns Quantum Matrix Limited, a Hong Kong company incorporated on March 20, 2014. Witty Time Holdings Limited wholly owns ManyMany Creations Limited, a Hong Kong company incorporated on June 15, 2005. On July 18, 2022, ManyMany Creations, Quantum Matrix, MSB Global Capital Corp., and Mr. Bun Kwai entered into a Project Agreement. Under this agreement, Mr. Kwai sold 3,000 Ordinary Shares of Quantum Matrix and 3,000 Ordinary Shares of ManyMany Creations to MSB Global Capital Corp. for US$1,000, in exchange for a shareholder's loan from MSB. This loan was intended to cover professional fees for the listing project of ManyMany Creations and Quantum Matrix on the Nasdaq Stock Exchange. Following this share transfer, Quantum Matrix and ManyMany Creations were entirely owned by Mr. Bun Kwai and MSB Infinitus Limited, a wholly owned subsidiary of MSB Global Capital Corp. Mr. Kwai held 7,000 Ordinary Shares of each company, while MSB Infinitus Limited held 3,000 Ordinary Shares of each company.
