Prospect Capital Corporation is a financial services company that primarily lends to and invests in middle market privately-held companies. Incorporated in Maryland, the company is a closed-end investment company that has elected to be regulated as a business development company ("BDC") under the Investment Company Act of 1940 and as a regulated investment company ("RIC") under Subchapter M of the Internal Revenue Code of 1986. Organized on April 13, 2004, and funded in an initial public offering completed on July 27, 2004, Prospect Capital Corporation is externally managed by its investment adviser, Prospect Capital Management L.P. Prospect Administration LLC, a wholly-owned subsidiary of the Investment Adviser, provides administrative services. As of June 30, 2025, the company had approximately $7 billion of total assets. Its investment objective is to generate both current income and long-term capital appreciation. The company primarily invests in privately owned United States ("U.S.") middle market companies, focusing on senior and secured first lien loans, and to a lesser extent, second lien loans, as well as equity and equity-linked investments with capital-appreciation potential such as senior and secured convertible debt, preferred equity, common equity, and warrants. While most investments are in private U.S. companies, the company may also invest in broadly-traded public companies and non-U.S. companies, subject to BDC requirements to invest at least 70% of assets in "eligible portfolio companies." Prospect Capital Corporation is a non-diversified company within the meaning of the 1940 Act.
