PORTSMOUTH SQUARE INC

Portsmouth Square, Inc. is a California corporation, incorporated on July 6, 1967, originally formed to acquire a hotel property in San Francisco, California. Historically, Portsmouth's primary business was conducted through its interest in Justice Investors Limited Partnership. Effective July 15, 2021, Portsmouth acquired 100% of the limited partnership interest of Justice. Prior to its dissolution on December 23, 2021, Justice owned and operated a 544-room hotel property located at 750 Kearny Street, San Francisco, California, known as the Hilton San Francisco Financial District. This also included related facilities, such as a five-level underground parking garage, through its subsidiaries Justice Operating Company, LLC and Justice Mezzanine Company, LLC. Effective December 23, 2021, Portsmouth replaced Justice as the single member of Mezzanine. As of June 30, 2025, The InterGroup Corporation owned approximately 75.9% of Portsmouth's outstanding common stock. Additionally, as of June 30, 2025, Portsmouth's Chairman of the Board and Chief Executive Officer, John V. Winfield, owns approximately 2.5% of the outstanding common shares of the Company.
