Proem Acquisition Corp. I

Proem Acquisition Corp I is a blank check company, also known as a Special Purpose Acquisition Company (SPAC), incorporated in the Cayman Islands in July 2025. Its sole purpose is to complete a merger, amalgamation, share exchange, asset acquisition, share purchase, reorganization, or similar business combination with one or more businesses. The company has not yet identified or begun discussions with any specific target business and may pursue a business combination in any industry. On February 13, 2026, Proem Acquisition Corp I completed its Initial Public Offering (IPO), selling 13,000,000 units at $10.00 per unit, which generated gross proceeds of $130,000,000. Each unit consists of one ordinary share with a par value of $0.0001 per share and one-half of one redeemable warrant. Each whole warrant allows the holder to purchase one ordinary share for $11.50 per share, subject to adjustment. Concurrently with the IPO, the company completed a private placement, selling 292,500 private units to Proem SPAC Partners I LLC (the "Sponsor") at $10.00 per private unit, raising $2,925,000. These private units are largely identical to the IPO units, with specific registration rights and transfer restrictions.
