OZOP ENERGY SOLUTIONS, INC.

Ozop Energy Solutions, Inc. was originally incorporated as Newmarkt Corp. on July 17, 2015, under Nevada law. On July 10, 2020, the Company acquired all 1,000 outstanding shares of Power Conversion Technologies, Inc. (PCTI), a Pennsylvania corporation, from its sole shareholder, Catherine Chis. This acquisition involved the issuance of 47,500 shares of the Company's Series C Preferred Stock, 18,667 shares of Series D Preferred Stock, and 500 shares of Series E Preferred Stock to Chis. On October 29, 2020, the Company formed a wholly owned subsidiary, Ozop Surgical Name Change Subsidiary, Inc., a Nevada corporation, solely to change the Company's name. The merger of this subsidiary into the Company, effective November 3, 2020, officially changed the Company's name from Ozop Surgical Corp to Ozop Energy Solutions, Inc. On December 11, 2020, the Company formed Ozop Energy Systems, Inc. (OES), a Nevada corporation and a wholly owned subsidiary, to manufacture and distribute renewable energy products. On August 19, 2021, the Company formed Ozop Capital Partners, Inc. (Ozop Capital), a Delaware corporation and a wholly owned subsidiary.
