The Company is a global biotech company focused on making cell and gene therapies (CGTs) affordable and accessible. CGTs can use a patient's own cells (autologous) or donor cells (allogeneic) and are classified as Advanced Therapy Medicinal Products (ATMPs) for regulatory purposes. The Company primarily pioneers a decentralized approach to CGT therapies, utilizing an automated and/or closed method validated for compliant production at or near the patient care site, referred to as the Decentralized Cell Processing or DCP Platform. This approach aims to address limitations of traditional centralized processing, which include complex logistics and inefficient, unscalable methods that result in costly products and limit patient access. ATMPs include somatic cell therapy medicinal products (STMPs) containing manipulated cells or tissues, tissue engineered products (TEPs) with modified cells or tissues for repair, regeneration, or replacement of human tissue, and gene therapy medicinal products (GTMPs) that engineer genes for therapeutic, prophylactic, or diagnostic effects, often by inserting recombinant genes to treat diseases like genetic disorders, cancer, or long-term conditions. On September 20, 2024, the Company implemented a 1-for-10 reverse stock split of its authorized and outstanding shares of Common Stock.
