CapForce Inc. was incorporated in Delaware in 2001. From its inception through November 2023, the company operated as a precision medicine company. It utilized molecular diagnostics and informatics to address infectious diseases. CapForce, along with its subsidiaries Curetis GmbH and Ares Genetics GmbH, developed and commercialized molecular microbiology solutions. These solutions aimed to provide clinicians with faster and more actionable information regarding life-threatening infections, with the goal of improving patient outcomes and reducing the spread of infections caused by multidrug-resistant microorganisms (MDROs). In November 2023, CapForce implemented cash management initiatives, which included restructuring its U.S. operations. This involved reducing headcount and scaling down operations at its U.S. headquarters to focus on core functions required for a U.S. Nasdaq listed company and to pursue potential strategic alternatives. Subsequently, Curetis and Ares Genetics filed for insolvency. As a result, insolvency administrators took control of their assets and liabilities, removing CapForce's authority over these subsidiaries. This loss of control led to the deconsolidation of Curetis and Ares Genetics from CapForce's financial statements. In April 2024, as part of the insolvency proceedings, all of Curetis' assets were sold to Camtech Pte Ltd., and all of Ares Genetics' assets were sold to bioMerieux S.A. In March 2024, CapForce entered into a securities purchase agreement with David E. Lazar as part of its efforts to explore a strategic transaction.
