OFS Capital Corp

OFS Capital Corp is an externally managed, closed-end, non-diversified management investment company that operates as a Business Development Company (BDC). Its primary objective is to deliver current income and capital appreciation to stockholders through debt investments and, to a lesser extent, equity investments. The company's investment strategy focuses on maintaining a credit investment portfolio primarily targeting middle-market companies in the United States. OFS Capital Corp defines "middle-market" companies as those exhibiting one or more of the following characteristics: 150 to 2,000 employees; revenues between $15 million and $300 million; annual EBITDA between $5 million and $50 million; generally private companies owned by private equity firms or owners/operators; and an enterprise value between $10 million and $500 million. The investment strategy primarily involves investments in senior secured loans, which include first lien, second lien, and unitranche loans, as well as subordinated loans. To a lesser extent, the company also invests in common stock, preferred stock, and other equity securities. These investments may be directly originated or purchased on a secondary basis in the U.S. leveraged loan market for Broadly Syndicated Loans. As a BDC, at least 70% of its assets must be "qualifying assets," which include investments in "eligible portfolio companies" organized in the United States. Eligible portfolio companies include all private companies, companies not listed on a national securities exchange, and certain public companies listed on a national securities exchange with a market capitalization of less than $250 million.
