Osprey Bitcoin Trust

Osprey Bitcoin Trust is an exchange-traded fund that issues shares representing a fractional undivided beneficial interest in its net assets. The Trust's investment objective is for its shares to reflect the performance of Bitcoin, as measured by the CME CF Bitcoin Reference Rate - New York Variant Index, after deducting the Trust's expenses and other liabilities. The Trust's assets primarily consist of Bitcoin. The Trust was formed as a Delaware statutory trust on January 3, 2019. Its shares, traded under the ticker symbol "OBTC," began listing on The Nasdaq Stock Market LLC on December 19, 2025. Prior to this listing, the shares were quoted on OTC Markets since February 12, 2021, and on OTCQX® Best Marketplace under the symbol OBTC since February 26, 2021. Osprey Funds, LLC serves as the sponsor of the Trust. CSC Delaware Trust Company is the trustee. Coinbase Custody Trust Company, LLC acts as the custodian for the Trust's Bitcoin holdings, while U.S. Bank National Association is the custodian for its cash holdings. U.S. Bancorp Fund Services, LLC (d/b/a U.S. Bank Global Fund Services) is the administrator and transfer agent, with Continental Stock Transfer & Trust Company serving as the sub-transfer agent. The Trust Agreement, governing the Trust, was dated November 1, 2020, and amended on April 15, 2022, January 18, 2024, December 18, 2025, and January 9, 2026.
