Oak Woods Acquisition Corp

We are a blank check company, newly incorporated as a Cayman Islands exempted company on March 11, 2022. As an exempted company, we are permitted to conduct business outside the Cayman Islands and are exempt from certain provisions of the Companies Act. We have received a tax exemption undertaking from the Cayman Islands government, effective March 16, 2022, for a period of 20 years. This exemption means no Cayman Islands law imposing taxes on profits, income, gains, or appreciations will apply to us or our operations. Additionally, no tax on profits, income, gains, estate duty, or inheritance tax will be payable on our shares, debentures, or other obligations, or by way of withholding on dividends or other distributions to shareholders, or payments of principal, interest, or other sums due under our debentures or obligations. Our purpose is to enter into a merger, share exchange, asset acquisition, share purchase, recapitalization, reorganization, or similar business combination with one or more businesses or entities, referred to as a "target business." Our search for a target business is not limited to a specific industry or geographic location. We do not currently have any specific business combination under consideration, nor have we or anyone on our behalf contacted any prospective target business or had substantive discussions regarding such a transaction. On October 25, 2022, we issued a total of 2,156,250 Class B ordinary shares to our sponsor, Whale Bay International Company Limited.
