(the "OP"), its operating partnership. The company owns its properties, referred to as the "Portfolio," through the OP and its wholly owned TRS. The OP owns approximately 99.9% of the Portfolio, while the TRS owns approximately 0.1%. NexPoint Residential Trust Operating Partnership GP, LLC, a wholly owned subsidiary, is the sole general partner of the OP. As of December 31, 2025, there were 26,053,988 common units in the OP ("OP Units") outstanding. Of these, the company owned 25,951,154, or 99.6%, and noncontrolling limited partners owned 102,834, or 0.4%. The company is externally managed by an Adviser, under an Advisory Agreement dated March 16, 2015, amended, and renewed on February 23, 2026, for a one-year term. The Adviser conducts substantially all of the company's operations, provides asset management services for its real estate investments, and makes all investment decisions, subject to oversight. The company's investment objectives include maximizing cash flow and value of properties, acquiring properties with cash flow growth potential, providing quarterly cash distributions, and achieving long-term capital appreciation for stockholders.
