Nova Minerals Ltd

Nova Minerals Limited is an Australian company incorporated in January 1987, formerly known as Quantum Resources Limited until December 2017. Its ordinary shares have been listed on the ASX since 1987 under the symbol "NVA" and are also quoted on the OTC Pink market under "NVAAF" and the Frankfurt Stock Exchange under "QM3". Additionally, its ADSs and public warrants are listed on the Nasdaq Capital Market under the symbols "NVA" and "NVAFF," respectively. In 2017, Nova Minerals Limited entered a joint venture with AK Minerals Pty Ltd for the Estelle Project in Alaska. This project includes 803 Alaska State mining claims, which were acquired by staking through the Division of Mining, Land and Water and the Alaska Department of Natural Resources. The mining claims are wholly owned by AKCM (AUST) Pty Ltd, an incorporated joint venture company between Nova Minerals Ltd and AK Minerals Pty Ltd, through its 100% ownership of the Alaskan incorporated company AK Custom Mining LLC. Nova Minerals Ltd owns 85% of AKCM (AUST) Pty Ltd, with AK Minerals Pty Ltd owning the remaining 15%. Consequently, Nova owns 85% of the Estelle Project property through this joint venture agreement, while AK Minerals Pty Ltd owns 15% and holds a 2% net smelter royalty payable over the property. On July 25, 2024, Nova Minerals Limited closed its initial public offering (IPO), issuing and selling 475,000 units. Each unit consisted of one ADS (totaling 475,000 ADSs, representing 28,500,000 ordinary shares) and one warrant to purchase one ADS (totaling 475,000 warrants to purchase 475,000 ADSs, representing 28,500,000 ordinary shares).
