Vidable, Inc. is a development stage online video classified company. The company aims to connect merchants and customers using streaming video, mobile technology, and social media. It operates a centralized business Internet portal, which is an online classified website, enabling consumers to find information about various products and services through videos posted by businesses and consumers. The company was incorporated in November 1998 in Nevada as USA Telcom. Its name changed to USA Telcom Internationale in 2000, then to ZannWell, Inc. in 2004, to The Blackhawk Fund in 2005, and finally to Vidable, Inc. in 2011. Previously, as "The Blackhawk Fund," the company focused on acquiring and developing real estate properties in the United States. It currently holds one property in its portfolio. On November 29, 2004, a change in control occurred when Palomar Enterprises, Inc. acquired Vidable, Inc.'s Series A, Series B, and Series C preferred stock. Palomar acquired 19,000,000 shares of Series A preferred stock, 10,000,000 shares of Series B preferred stock, and 10,000,000 shares of Series C preferred stock from Robert C. Simpson. Each share of Series A preferred stock is convertible into ten shares of common stock and does not have voting rights. Each share of Series B preferred stock is convertible into two hundred shares of common stock, and holders are entitled to one vote per share on matters submitted to common stock holders.
