NetClass Technology Inc

NetClass is a Cayman Islands exempted company incorporated on January 4, 2022. The company conducts its business in the PRC, Hong Kong, Singapore, and Japan through its subsidiaries. NetClass HK, incorporated on December 12, 2006, in Hong Kong SAR, was acquired by NetClass on May 5, 2022. It is a wholly-owned subsidiary of NetClass and serves as the main operating entity in Hong Kong and the holding company for PRC subsidiaries. NetClass International, incorporated on July 28, 2023, in Hong Kong SAR, is a wholly-owned subsidiary of NetClass and currently has no business operations. NetClass Singapore, incorporated on May 13, 2024, in the Republic of Singapore, was acquired by NetClass on July 1, 2024, with NetClass holding a 60% equity interest. NetClass Singapore is not currently operating. WFOE, incorporated on May 5, 2019, in the PRC, is a wholly-owned subsidiary of NetClass HK and acts as a holding company without active business. Shanghai Netwide, incorporated on April 27, 2022, in the PRC, is a wholly-owned subsidiary of WFOE and also acts as a holding company without active business. NetClass China, incorporated on May 13, 2003, in the PRC, has WFOE owning 21.46% equity interest and Shanghai Netwide owning 78.54% equity interest.
